- Advising and assisting our clients in analyzing and evaluating their business, operations, and financial position
- Defining M&A objectives, performing a valuation analysis, and structuring the transaction
- Assisting in the preparation of an information memorandum to be utilized in discussions with prospective participants in the transaction
- Identifying a comprehensive list of potential strategic and financial buyers
- Overseeing management presentations and the due diligence process
- Working with the client’s attorneys to review all requisite documents, and
- Negotiating the terms and conditions of the transaction
Buy-side M&A transactions generally include :
- Working with the client to devise an M&A strategy that takes into account current market conditions and competitive factors
- Identifying a comprehensive list of prospective targets for the client;
- Contacting prospective targets to gain specific insight into their businesses
- Managing the due diligence process
- Working with the client’s attorneys to review all requisite documents
- Negotiating the terms and conditions of the transaction
- Providing any other assistance necessary to achieve a completed transaction satisfactory to the client
